Terms of Service

Effective date: 2026-05-11 Status: Pre-alpha. These terms will be updated before public beta launch.

These Terms of Service ("Terms") govern your use of the Quoteworthy platform ("Service") operated by WoW Solutions / Grigoriy Baranchuk ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Quoteworthy is a content automation platform for marketing consultants and agencies. The Service allows you to configure brand voice, generate AI-assisted content, schedule and publish posts to connected social platforms, and track engagement.

The hosted Service runs the same source code that is available as open-source under the Apache License 2.0 at github.com/wow-solutions/Quoteworthy. You may self-host the Service under the Apache 2.0 license at any time.

2. Eligibility and account

• You must be at least 18 years old.
• You must provide accurate registration information.
• You are responsible for keeping your password and OAuth tokens secure. Notify us immediately of any unauthorized access.
• One account per person; you may manage multiple client brands within a single account.

3. Acceptable use

You agree NOT to use the Service to:

• Violate any applicable law or third-party platform terms (including LinkedIn API Terms of Use, Facebook Platform Terms, etc.)
• Send spam, automated bulk messages, or engage in follower automation
• Publish content you do not have the right to publish
• Generate or publish content that is illegal, defamatory, hateful, pornographic, or that violates the rights of any person
• Bypass rate limits, usage quotas, or security measures
• Resell or sublicense the hosted Service without written permission
• Use the Service to train competing AI models on output data

We may suspend or terminate accounts that violate this section.

4. Connected third-party platforms

When you connect a social platform (LinkedIn, Facebook, Instagram, X, WordPress, Webflow, Shopify) to a brand, you authorize Quoteworthy to act on your behalf within the scopes you grant. You remain solely responsible for:

• Compliance with the connected platform's terms of service
• Content posted to the connected platform via the Service
• Maintaining valid authorization (e.g., remaining an admin of the connected page)

We will only post content you have explicitly approved through the human-in-the-loop approval flow.

5. Your content and intellectual property

• You retain all rights to the brand data, voice configuration, customer research, and generated content you create using the Service.
• You grant us a limited license to process this content solely to operate the Service on your behalf.
• We do not use your content to train AI models.
• AI-generated output: you are responsible for reviewing each piece of output before publishing. Generated content may contain errors, inaccuracies, or biases inherited from underlying models.

6. Our intellectual property

• The Quoteworthy name, logo, and branding are our property.
• The Service software is licensed under Apache 2.0 (see the LICENSE file in the repository).
• Hosted-only features (managed infrastructure, billing UI, support) remain our proprietary service offering.

7. Subscription and billing

• The Service is offered on subscription plans (Trial, Solo, Solo Pro, Boutique, Agency) at the prices listed on our pricing page.
• Billing is processed by Lemon Squeezy. By subscribing, you agree to Lemon Squeezy's terms.
• Subscriptions auto-renew at the end of each billing period unless cancelled.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• Refunds: we offer refunds at our discretion within 14 days of an initial purchase if the Service does not work as described.
• We may change pricing with 30 days' notice.

8. Trial period

New accounts receive a 14-day trial of the Solo Pro plan. At the end of the trial, you must select a paid plan to continue using the Service. Brand configuration data is retained for 30 days after trial expiry.

9. Service availability and changes

• Pre-alpha: the Service is provided "as is" with no uptime SLA. We may change features, pricing, or discontinue the Service at any time during pre-alpha.
• Beta and GA: separate SLA terms will apply (to be published).
• We may perform maintenance with reasonable notice.
• If we discontinue the Service, we will provide at least 30 days' notice and a data export option.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-GENERATED CONTENT MAY CONTAIN ERRORS, OMISSIONS, OR BIASES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING CONTENT BEFORE PUBLICATION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

12. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your content, your use of connected platforms, or your violation of these Terms.

13. Termination

• You may terminate your account at any time from the dashboard.
• We may suspend or terminate your account for violation of these Terms with reasonable notice (except in cases of severe abuse, where notice may be immediate).
• Upon termination, your data will be deleted per our Privacy Policy.

14. Changes to these Terms

We may modify these Terms with reasonable notice (typically 30 days). Continued use after the effective date of changes constitutes acceptance.

15. Governing law

These Terms are governed by the laws of Panama, without regard to conflict of law principles. Disputes will be resolved in the courts of Panama City, Panama, unless required otherwise by applicable consumer protection law.
